A. Introduction

Welcome to Nexa Global Holdings Limited (“Nexa”, “Company”, “we”, “our”, “us”)! These Terms of Service (“Terms”, “Terms of Service”) govern the engagement of Brand Ambassadors (“Brand Ambassador”, “I”, “You”, “Your”, “Anybody”) Nexa Global Holdings Limited (together or individually “Service”).

Your agreement with us includes these Terms and our Privacy Policy (“Agreements”). You acknowledge that you have read and understood Agreements, and agree to be bound of them.

If you do not agree with (or cannot comply with) Agreements, then you may not use the Service, but please let us know by emailing [email protected] so we can try to find a solution. These Terms apply to all individuals/groups who wish to access or use Service.

B. Brand Ambassadors understand and agree:

1. I am 16 years of age or older.

2. I will promote and market products sold at www.nexa.store to customers. Receive test/wear/model/experience and write about products on social networks (blogs, posts, pictures, videos, etc.). Share brand messages on the social network. Receive new products and model them for promotions we create or to be used as product images. Share content using our brand hashtags: #connectinghappiness, #nexaonlineshopping, #freedelivery, and/or others provided by the company from time to time.

3. I understand that I may not receive monetary compensation or gift cards for use of images or videos used on the company’s social media networks.

4. I will receive an x% discount on any Nexa.Store products when placing an order using my exclusive Brand Ambassador promotion code that was sent to me.

5. If orders are submitted without using my Brand Ambassador promotion code, these orders will not be credited to my account. No cash compensation will be provided by the company. Only one promotion code can be applied per order.

6. I will not share my Brand Ambassador promotion code with anyone else unless I have gained explicit consent from Nexa Global Holdings Limited.

7. I will not sell company products on unauthorized websites on the internet or in retail establishments.

8. I will protect the company’s trademark by not reproducing the company’s name/trademark or any company materials for use in advertising without the written approval of the company.

9. I will promote Nexa.Store products on social media accounts by posting appropriate photos of marketing events showcasing the products. I will contact the company if a clear understanding of “appropriate” photos is needed. I will not receive any financial or other compensation for product promotion through my social media network.

10. I will post as often as I would like on my social media accounts and tag #connectinghappiness, #nexaonlineshopping, #freedelivery, and/or others provided by the company from time to time in each post. I understand that I have permission to repost an existing post by Nexa Global Holdings Limited

11. I will conduct myself in a manner that reflects the highest standard of integrity and responsibility in keeping with the reputation of the company. If I do not uphold these standards, I will be immediately removed from the Brand Ambassador Program and forfeit any unused gift cards and all promotional codes effective immediately.

12. If I choose to leave the Brand Ambassador program, I must use any unused gift card balance within 4 days of leaving the program. Any photos sent to Nexa will remain in their database to use on their social media platforms and marketing campaigns.

13. If the company terminates the Brand Ambassador program, I have 10 days to redeem my gift card credits and use the exclusive promotional code (if any).

14. I must be an active Brand Ambassador to remain in the program. Active pertains to posting content at least 10 times a week which includes at least 20 pre-approved Nexa hashtags.

15. I agree that the company reserves the right to cancel this agreement at any time.

16. I agree to the company’s privacy policy and I have read and agree to these terms.

C. Nexa Global Holdings Limited understands and agrees:

1. Company will compensate the Brand Ambassador with a value reasonable to both parties in the form of a gift card or other as suitable and as agreed for every photo we use on our website or e-commerce marketing emails or advertisements, but not on social media networks. Once compensated, Nexa owns the right to use this image for campaigns even should the Brand Ambassador leave the program.

2. Company may occasionally provide free jewelry to the Brand Ambassador to promote on social networks (if any).

3. Company will give the Brand Ambassador a x% Off exclusive promotional code to use for products purchased on www.nexa.store (if any)

4. Company may provide additional reward points/product awards / free jewelry /other to top-performing Brand Ambassadors at its’ discretion (if any).

5. If the company terminates the program, the company must provide 10 days' written notice to all Brand Ambassadors prior to the termination date.

6. The Company will retain the right to use any photos the brand ambassadors send us or tag us in, even if the Brand Ambassador exits the program.

D. General:

1. This agreement is subject to acceptance by the company and is conditioned by the acceptance of these terms and conditions.

2. Either party may terminate this agreement immediately for cause or without reason upon 10 days of written notice.

3. Nexa Global Holdings Limited may discontinue the Brand Ambassador Program at any time.

4. The Brand Ambassadors may not be treated as company employees for any reason. Special cases are excluded.
